Private Equity

In this increasingly competitive space, it is more important than ever for those investing private wealth to make the right investment decisions to maximise return on capital while reducing risk.

Our private equity team executes high-value deals acting for sovereign wealth and opportunity funds as well as the venture capital/mid-market buy out sector. We advise on transactions with a cumulative value of over £1bn per year.

Specifically, we advise clients on:

  • Advice on acquisition and disposal of private equity interests;
  • Private equity real estate;
  • Joint venture structuring;
  • Equity raisings;
  • Shareholder agreements;
  • Financing arrangements;
  • Structuring and establishing UK and non-UK funds;
  • Feeder funds for different classes of investors;
  • Tax efficient structuring for carry participants;
  • Tax treatment of underlying investments;
  • Corporate governance and board and executive solutions;
  • Prospectuses and other investment documentation;
  • FCA authorisation, ongoing regulatory advice and training, compliance policies and implementation of systems and controls; and
  • FCA investigations and enforcement - representing firms and individuals.

    A fund investment could be taxed as income

    Our clients, partners in a UK private equity fund, planned a new fund that would be established with a substantial investment from a sovereign wealth fund. The partners would operate the new fund and would receive a percentage interest in it.

    We advised on the tax implications – particularly in light of the risk that part, or all, of their holding could be treated as employment income.

    Flexible sale proceeds to suit the sellers

    Having restructured the £150m debt facility of a pharmaceuticals business in the previous year, we advised the management team on a sale of the whole business for £400m+. The management team took the consideration in a combination of cash, debt and shares in the purchasing vehicle, depending on their personal circumstances. Including this flexibility ensured that they were fully on board, and that the deal didn’t fall through.

  • Family business image

    One good deal deserves another

    We advised a consortium including a family office, management shareholders and debt providers on the acquisition of a £300m+ logistics and sales operation, and the onward sale of part of the business to a listed company. The Family Office provided the vast majority of the equity, and also provided ongoing management for the acquired business. The acquisition and onward sale were successful, and the family office are now looking at further deals in the sector with several of the consortium members.

“The team is quick, we just call them and they're happy to help."
