Our clients, partners in a UK private equity fund, planned a new fund that would be established with a substantial investment from a sovereign wealth fund. The partners would operate the new fund and would receive a percentage interest in it.
We advised on the tax implications – particularly in light of the risk that part, or all, of their holding could be treated as employment income.
Having restructured the £150m debt facility of a pharmaceuticals business in the previous year, we advised the management team on a sale of the whole business for £400m+. The management team took the consideration in a combination of cash, debt and shares in the purchasing vehicle, depending on their personal circumstances. Including this flexibility ensured that they were fully on board, and that the deal didn’t fall through.
We advised a consortium including a family office, management shareholders and debt providers on the acquisition of a £300m+ logistics and sales operation, and the onward sale of part of the business to a listed company. The Family Office provided the vast majority of the equity, and also provided ongoing management for the acquired business. The acquisition and onward sale were successful, and the family office are now looking at further deals in the sector with several of the consortium members.
